Terms of Service

1. Agreement

These Terms of Service (“Terms”) form a binding agreement between you (“you,” “your,” or the “Customer”) and Schedra (“we,” “our,” or “us”). They govern your access to and use of schedra.ai and any related products or features (the “Service”).

By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization, and “you” refers to that organization.

2. The Service

Schedra provides scheduling, customer relationship management, staff scheduling, financial tracking, and AI-assisted workflow tools for service businesses. We may add, remove, or change features at any time.

Some features depend on third-party services (Google Calendar, Stripe, Anthropic, Resend). If those services become unavailable or change their terms, the corresponding feature may also become unavailable.

3. Accounts and Eligibility

You must be at least 16 years old to use the Service. You are responsible for:

  • Providing accurate registration information
  • Keeping your password confidential
  • All activity that occurs under your account
  • Notifying us promptly of any unauthorized access

We may suspend or terminate accounts that violate these Terms, that we reasonably believe are being used fraudulently, or that fail to pay subscription fees.

4. Subscription and Billing

Paid plans are billed in advance through Stripe. By subscribing you authorize us to charge your payment method on a recurring basis (monthly or annual depending on the plan you select).

  • Trial: New tenants may receive a free trial. We will not charge you during the trial unless you explicitly upgrade.
  • Renewals: Subscriptions renew automatically. You may cancel at any time through the Billing settings or by contacting us. Cancellation takes effect at the end of the current billing period; we do not provide partial refunds.
  • Failed payment: If a charge fails, we may suspend access until the issue is resolved.
  • Price changes:We may change pricing on 30 days' notice. Existing subscribers will be notified by email.

5. Acceptable Use

You agree NOT to use the Service to:

  • Send spam, unsolicited messages, or violate the CAN-SPAM Act or similar laws
  • Engage in fraud, money laundering, or any unlawful activity
  • Upload, store, or transmit unlawful, harassing, defamatory, or harmful content
  • Attempt to reverse engineer, decompile, or otherwise probe the Service for vulnerabilities other than through our designated security disclosure process
  • Resell or sublicense the Service without our written consent
  • Scrape, mass-download, or otherwise extract data in a manner that imposes an unreasonable load on our infrastructure
  • Interfere with the Service's operation or other users' access to it
  • Train machine learning models on our software, customer data, or any data accessed through the Service without our express written consent

6. Your Data

You retain ownership of all data you upload, create, or configure within the Service (“Customer Data”). You grant us a limited license to host, process, and display Customer Data solely to provide the Service to you.

You are responsible for the legality of Customer Data, including obtaining any consents required to share end-user data (such as your customers' names, emails, and phone numbers) with us.

On account termination, you may export your Customer Data for up to 30 days. After that period we may delete it.

7. Third-Party Services

When you connect a third-party integration (such as Google Calendar or Stripe), your use of that service is governed by the third party's own terms and privacy policy. We are not responsible for the availability, content, or behavior of third-party services.

8. Service Availability

We aim to provide reliable service but make no guarantees about uptime. Scheduled maintenance, third-party outages, and unforeseen incidents may cause downtime. The Service is provided “as is” without warranty of fitness for a particular purpose.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCHEDRA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE.

IN NO EVENT WILL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

11. Indemnification

You agree to indemnify and hold Schedra harmless from any claim, liability, or expense (including reasonable attorneys' fees) arising out of your breach of these Terms, your use of the Service, or your Customer Data.

12. Termination

You may terminate your account at any time through Billing settings or by contacting us. We may suspend or terminate your access if you violate these Terms or fail to pay applicable fees. Sections that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and dispute resolution) will survive.

13. Changes to These Terms

We may revise these Terms from time to time. When we make material changes, we will post the updated Terms here and update the “Last updated” date. For significant changes, we will notify you by email. Your continued use of the Service after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the United States and the State in which Schedra is incorporated, without regard to its conflict of laws provisions. Any disputes arising out of these Terms or the Service will be resolved in the state and federal courts located in that jurisdiction.
